Disclosures
This Agreement between you and GMAC Bank describes your rights and obligations as a user of GMAC Bank’s Online Banking Service or Bill Payment Service or any other service or banking function (individually and collectively called “Service”) provided under this Agreement. Please carefully review this agreement. By requesting and using any Service or authorizing others to use, you agree to comply with the terms and conditions of the entire agreement.
Your use of Online Banking Service may also be affected by the individual agreements you have with us for your individual accounts. When you request Online Banking Service, you do not change the agreements you already have with us for your individual accounts. You should review those agreements for any applicable fees, limitations of transactions, and for other restrictions that might impact your account when utilizing Online Banking Services. When you click accept, you are also agreeing to be bound by the terms and conditions of the agreements of any products you accept.
General Terms and Definitions
“We”, “Our”, “Us”, “GMAC Bank” and “Bank” refer to GMAC Bank.
“You”,“Your”, and “Customer” refer to the account owner or each joint owner identified on the signature card or other account documents and each of their legal representatives.
“Online Banking” is GMAC Bank’s Internet-based service providing access to your Online Account(s).
“Bill Payment” is the Internet-based service allowing payments to GMAC Bank or third parties from your designated GMAC accounts.
“User ID” is the GMAC Bank designated code that allows you to utilize your online banking service.
“Password” is the series of numbers or letters that you select as a code to authenticate your User ID.
Online Banking Services
To use Online Banking you must have:
- An Internet capable browser with service through an Internet service provider. Current browsers supported are Microsoft Internet Explorer versions 4.01, 5.0 and 5.5 as well as Netscape Navigator versions 4.1, 4.7, 4.76 and 6.01. You are responsible for providing all equipment and connections, including upgrades, needed to access and use the Service.
- A computer equipped with a modem.
- A GMAC Bank account or be applying for a GMAC Bank account.
You may use Online Banking to:
- Apply for any GMAC Bank account.
- Fund new GMAC Bank accounts.
- View current balance information for any GMAC Bank account, and existing personal line of credit or personal loan accounts.
- Review transactions of your GMAC Bank accounts, and existing personal line of credit or personal loan accounts.
- Transfer funds between your GMAC Bank deposit accounts.
- Make single or recurring payments from your designated GMAC Bank accounts to any company or individual payee that you designate.
- Send and receive secure online mail messages and questions regarding your GMAC Bank accounts or Online Banking Service to GMAC Bank Customer Care.
- Perform maintenance such as change your home or mailing address, phone numbers, your e-mail address, your password, or IVR PIN.
Description of Services
- Applying for a New GMAC Bank Account
- By submitting your application for a product(s) you authorize GMAC Bank to obtain a consumer credit report as part of the review of your application.
- By proceeding with this process, you agree to the use of your credit report for the purpose of validation of your identity to help facilitate the processing of your application.
- Fund Transfers
- Subject to the limits set forth in paragraph B(4) below, transfers can be made from GMAC Bank NOW, money market savings, and personal line of credit accounts.
- For Online Banking transfers, the end of a business day is 12:00 a.m. Transfers you submit from a GMAC Bank account prior to 12:00 am will be processed the same bank business day. Transfers you submit after the cut-off time of 12:00 a.m. will be processed the following bank business day.
- Transfers can be scheduled as a one time event or on a recurring basis on a future date. You may also schedule payments to recur on an interval such as weekly, bi-weekly, monthly, etc. Scheduled recurring payments that fall on a weekend or non-bank business day will be processed on the prior bank business day.
- Federal regulations limit the number of pre-authorized electronic fund transfers and telephone transfers, including Online Banking Service transactions, from money market savings accounts. You are limited to six pre-authorized electronic fund transfers and telephone transfers, checks and point of sale transactions per statement cycle. Of these six transactions, you are limited to only three transactions by check or point of sale. Each transfer or payment through Online Banking services from your GMAC Bank money market savings account is counted as one of the six limited transfers that you are permitted each statement cycle. GMAC Bank will charge a fee for each transaction in excess of this limit.
- You authorize GMAC Bank to withdraw the necessary funds from your GMAC Bank NOW account, MMDA, or Line of Credit on the date you schedule for the transfer to be processed or submit a transfer request. You agree that you will initiate the withdrawal only when you have sufficient funds or funds will be available on the instructed initiation date. If you do not have a sufficient balance, we may refuse to complete the transaction. In either case, we reserve the right to impose a non-sufficient funds (NSF) fee, and no further attempt will be made by the bank to process the transfer. The bank is under no obligation to notify you if it does not complete a transfer because there are non-sufficient funds in your account to process the transaction. In all cases, you are responsible for making alternate transfer arrangements or rescheduling the transfer through the Service. In the case of fixed, scheduled transfers, only the transfer currently scheduled will be canceled in the case of insufficient funds. Future dated transfers will not be affected.
- You may cancel or change a scheduled or future dated transfer by using the Transfers tab, Review Pending Transfers section of Online Banking. You must cancel the transfer before 12:00 a.m. on the day the transfer is scheduled. Phone calls will not be considered an acceptable method for canceling a transfer. If you choose not to cancel the transfer through Online Banking, you may either send a secured e-mail message through the Message Center of Online Banking or write us at: GMAC Bank Customer Care Dept.

Horsham, PA 19044 The Bank must receive your request at least three days prior to the date the transfer is scheduled to be processed. If you write or send an e-mail request to cancel a transfer, you may be charged for a stop payment in accordance with the agreement for your GMAC Bank account.
- Bill Payments
- To activate this service, you must have a GMAC Bank NOW account or CMG NOW account.
- Each payment you make will be deducted from the GMAC Bank NOW Account or CMG NOW account.
- Any payment you make through this Service must be payable in U.S. dollars.
- A payment can be made to any payee you designate with a valid name and a valid U.S. address.
- Payments you make through the Online Banking Bill Payment services are processed in one of two ways:
- Electronic Transmission – Most payments are made by electronic transmission.
- Bank Check – Some payees may not be able to accept an electronic transmission. In this case, the Bank will issue a check to the payee.
- When you indicate the date that you want the payment to be processed, please allow at least 4 business days before the actual due date. If you do not, you will be fully responsible for all late fees, finance charges, or other action taken by the payee.
- GMAC Bank’s sole responsibility is to exercise ordinary care in processing and sending payments upon your authorization and in accordance with this Agreement. GMAC Bank will not be liable in any way for damages you should incur if you do not have sufficient funds available in your account on the indicated date of payment, for delays in mail delivery, for inaccurate or changes in the payee address or account number, for failure of any payee to correctly account for or credit the payment in a timely manner, for changes of mailing or delivery addresses requested by payees, or for any other circumstances beyond the control of GMAC Bank.
- You authorize GMAC Bank to withdraw the necessary funds from your GMAC Bank NOW Account or CMG NOW account on the date you schedule for the payment to be processed or submit a payment request. You agree that you will initiate the withdrawal only when you have sufficient funds or funds will be available on the instructed initiation date. If you do not have a sufficient balance, we may refuse to complete the transaction. In either case, we reserve the right to impose a non-sufficient funds (NSF) fee which are set forth in your Schedule of Fees and Service Charges in your GMAC Bank Deposit Agreement, and no further attempt will be made by the bank to issue the payment. The bank is under no obligation to notify you if it does not complete a payment because there are non-sufficient funds in your account to process the transaction. In all cases, you are responsible for making payment arrangements or rescheduling the payment through the Service. In the case of fixed, scheduled payments, only the payment currently scheduled will be canceled in the case of insufficient funds. Future dated payments will not be affected.
- You may cancel or change a scheduled or future dated payment by using the Bill Payments tab, Review Pending Payments section of Online Banking. Bill Payments must be cancelled by 10:00 p.m. on the day the payment is scheduled. Phone calls will not be considered as an acceptable method for canceling a payment. If you choose not to cancel the payment through Online Banking, you may either send a secured e-mail message through the Message Center of Online Banking or write us at: GMAC Bank Customer Care Dept.

If you write or send an e-mail request to cancel a payment, you will be charged for a stop payment in accordance with the agreement for your GMAC Bank NOW account or CMG NOW account.
Terms and Conditions
- Monthly Service Charges
- Online Banking service – There is no monthly service charge for accessing your GMAC Bank accounts with Online Banking.
- Online Banking with Bill Payment service – There is a $5.95 per month fee for Bill Payment service. This fee will be deducted from your first GMAC Bank NOW account. If you close the account from which your Bill Payment service fee is deducted, you agree that we can deduct the monthly fee from one of your other GMAC Bank accounts until we receive notice from you that you wish to terminate your Bill Payment service.
- The Bill Payment fee is in addition to any fees charged by GMAC Bank on your account.
- Other Charges
- The monthly service charge for Bill Payment is in addition to the fees and charges that apply to all of your GMAC Bank accounts which you can find in the Schedule of Fees and Service Charges in your GMAC Bank Deposit Agreement. You should note that depending on how you access Online Banking, you might incur charges for:
- Normal account fees and service charges.
- Any Internet service provider fees.
- Purchases of software programs such as Microsoft Money®.
- Additionally, fees may be assessed for added services requested through the Message Center of Online Banking such as stop payment requests, check copy orders and statement copy orders. Please consult your account agreement for the specific fees that your account may be subject to.
- The monthly service charge for Bill Payment is in addition to the fees and charges that apply to all of your GMAC Bank accounts which you can find in the Schedule of Fees and Service Charges in your GMAC Bank Deposit Agreement. You should note that depending on how you access Online Banking, you might incur charges for:
- Service Hours
- Online Banking services are available 24 hours a day, 365 days a year – except during system maintenance and upgrades.
- Business Days
- For Online Banking services, our business days are Monday through Friday, excluding Bank holidays.
- Joint Accounts
- When your Online Banking service is linked to joint account, we may act on the verbal, written or electronic instructions of any authorized signer. When enrolling for Online Banking services, the primary account holder will be issued a User Id and password. If the secondary owner on the account would like to have separate online access, they would need to simply enroll.
- Changes to Agreement
- GMAC Bank may change this agreement at any time. We could, for example, add, delete, or Amend terms or services. We will notify you of such changes either by mail or electronic message. If you maintain your Online Banking services after the effective date of the change, you indicate your agreement with the change.
- Cancellation of Online Banking Services
- You are responsible for complying with all of the terms of this Agreement and with the terms of the agreement governing your GMAC Bank accounts which you access using this service.
- Your Online Banking services remain in effect until they are terminated by you or GMAC Bank. You may cancel your service at any time by notifying us of your intent to cancel in writing or electronically through Online Banking secure mail. This cancellation will apply strictly to your Online Banking service and will not terminate your GMAC Bank accounts. GMAC Bank may terminate your Online Banking services at any time, for any reason. We are not obligated to provide advance notification of cancellation.
- If you should close the account from which your Bill Payment Service charges are deducted, GMAC Bank may continue to apply the monthly service charge to any of your other GMAC Bank deposit accounts until you have provided us with notice of termination. You may notify GMAC Bank by one of the following methods:
- By sending a secure message through the Online Banking Message Center.
- By sending a letter to the following address: GMAC Bank Customer Care Dept.

- If we are unable to collect the fees, we have the right to terminate the Service.
- Secured E–Mail
- Through the Message Center, GMAC Bank has provided you with a secure way to correspond with the Bank. When you use the Online Banking Message Center to send e-mails to the Customer Care Department, the content of your message will be transmitted using technology intended to protect your privacy. Any information sent through another e-mail system may not be secure and may be observed by third parties in its transmission. If you send GMAC Bank a message by any other method than the Message Center, GMAC Bank will not be responsible for any use of other e-mail or any response made by GMAC Bank should a third party intercept your e-mail. GMAC Bank needs a reasonable amount of time to research and reply to your requests, although every effort will be made by the Bank to respond to your message within twenty-four hours. Messages sent by any other means besides the Online Banking Message Center may not be held to the same response time.
- DO NOT USE the Message Center, other e-mail, or U.S. mail if you need to communicate immediately with GMAC Bank. For example, if you need to notify the Bank of the theft of a password or a GMAC Check Card, you should immediately call the GMAC Bank Customer Care Department at 1-866-2GM-BANK (1-866-246-2265).
- By submitting a message via the Message Center or e-mail, you agree that GMAC Bank may respond to you via e-mail with regard to any matter related to the service, including responding to any claim of unauthorized electronic funds transfer that you make. Any such e-mail sent to you by GMAC Bank shall be considered received by you, regardless of whether or not you sign on to the Service. You also agree that GMAC Bank may send information about other products and services to you through the Message Center.
- If for any reason your external e-mail address changes or becomes disabled, please contact the Bank immediately so that we can continue to provide you with automated messages.
- Electronic Disclosure
- You consent that the following documents may be presented to you in an electronic format. This will include your Online Banking and Bill Payment Agreement, Deposit Account Agreement, Billing error resolution notices and Request for Additional Information Notices. You may withdraw your consent for electronic delivery of this information at any time, but understand that in doing so, the resulting implication could be the termination of your online banking privileges. If at any time you would like to withdraw your consent, you should send an e-mail via the Message Center or a request in writing to: GMAC Bank Customer Care Dept.

If you would like to request a certain piece of documentation in a hardcopy format, you may either send an e-mail request via the Message Center or you may send a request in writing to: GMAC Bank Customer Care Dept.

- If your e-mail address changes, notify us by sending us a secured e-mail through the Message Center.
- You consent that the following documents may be presented to you in an electronic format. This will include your Online Banking and Bill Payment Agreement, Deposit Account Agreement, Billing error resolution notices and Request for Additional Information Notices. You may withdraw your consent for electronic delivery of this information at any time, but understand that in doing so, the resulting implication could be the termination of your online banking privileges. If at any time you would like to withdraw your consent, you should send an e-mail via the Message Center or a request in writing to: GMAC Bank Customer Care Dept.
- GMAC Bank or Affiliated Party Contact
- No GMAC Bank employee, or company affiliated with GMAC Bank Online Banking services will contact you via e-mail or phone requesting your Online Banking User ID or password. If you are contacted by anyone requesting this information please contact us immediately.
- In Case of Errors or Questions About Your Electronic Transactions
- Send us an online message through the Message Center. Or write us at: GMAC Bank Customer Care Dept.

Horsham, PA 19044 To protect your privacy, do not use e-mail services that may not be secure.We must hear from you no later than 60 days after we send the FIRST statement on which the problem or error appeared. Please include the following information:
- Your name and account number.
- Describe the error on the transfer that you are unsure about, and explain as clearly as you can why you believe there is an error or why you need more information.
- The payee if a Bill Payment Dispute, if you have it.
- The transaction reference number assigned by Online Banking, if you have it.
- Tell us the dollar amount of the suspected error.
- We will notify you of the results of our investigation and whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 calendar days (90 calendar days if the transfer involved a point of sale or a foreign initiated transfer) to investigate your complaint or question.
If we decide to do this, we will credit your account within 10 business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint in writing and we do not receive it within 10 business days, we may not credit your account.
We will tell you the results of your investigation within 3 business days after completing it. If we decide that there was no error, we will send you a written explanation within 3 business days after we finish our investigation. You may ask for copies of the documents that we used in our investigation.
- You agree that GMAC Bank may respond to you via e-mail with regard to any claim of unauthorized electronic fund transfer related to the service. Any such email sent to you by GMAC Bank shall be considered received whether or not you sign on to the service.

- Limitation of Bank’s Liability
- Unauthorized Transactions
Tell us at once if you believe that your Online Banking Password has been compromised or if someone has transferred or may transfer money from your account without your permission. The best way to minimize your loss is to call us immediately. The unauthorized use of your Online Banking service may cause you to lose all of your money in your accounts, plus any amount available under your overdraft protection.
If you give someone your Online Banking User ID and Password, you are authorizing that person to use your service, and you are responsible for all transactions the person performs using your service. All transactions that person performs, even those transactions you did not intend or want performed, are authorized transactions. If you notify us that the person is no longer authorized, the transactions that person performs after the time you notify us are considered unauthorized. Transactions that you or someone acting for you initiates with fraudulent intent are also authorized transactions.
For your protection, sign off after every Online Banking session and close your browser to ensure confidentiality.
- If we do not complete a transaction to or from your account on time, or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable for failure to properly complete a transfer, bill payment or other transaction in the following instances:
- If through no fault of GMAC Bank, you have insufficient funds in order to perform a transfer or bill payment.
- If circumstances beyond our control (such as flood, war or other acts of hostility, power outage, fire, equipment or technical failure or breakdown) prevents us from completing the transfer or payment despite reasonable safety measures that we have taken.
- If there is a hold on your account, or if access to your account is blocked, in accordance with banking policy. If your funds are subject to legal process or other encumbrance restricting the transfer.
- If your payment or transfer authorization terminates by operation of law.
- If you believe that someone has accessed your account without your permission and you fail to notify GMAC Bank immediately.
- If you have not properly followed the scheduling instructions on how to make a transfer or payment included in this agreement or in the Online Banking instructions.
- If we have received inaccurate or incomplete information from you or a third party involving the account, transfer, or payment.
- If we change the mailing address for a Bill Payment based on information that we have received from the payee.
- If we have a reasonable basis for believing that unauthorized use of your Password or account has occurred or may be occurring or if you default under this Agreement, the Deposit Account Agreement, or the Personal Line of Credit or Loan Agreement with us, or if we or you terminate this agreement.
- If there are postal delays or processing delays by the Payee.
- GMAC Bank will not be liable for any losses resulting from circumstances over which the Bank has no direct control, including, but not limited to, the failure of electronic or mechanical equipment or communications lines, telephone or other interconnect problems, operator errors, log-in sequences, war and other acts of hostility, severe weather, earthquakes, floods, or other such events. You acknowledge that there are alternate methods for accessing the information and processing the transactions provided by the service, such as making payments by check or check card, by accessing the Automated Account Information Line, or by contacting the GMAC Bank Customer Care Department directly. In the event you should experience problems in accessing the service, you will attempt to access such information and perform such transactions by these alternate methods.
- There may be other exceptions stated in this Agreement and in other agreements with you. In no event shall we be liable for damages in excess of your actual loss due to our failure to complete a transfer or Bill Payment, and we will not be liable for any indirect, incidental, exemplary or consequential damages.
- Unauthorized Transactions

- General
- In order to enroll for Online Banking and Bill Pay Services, customer must be a U.S. Citizen or Legal U.S Resident. By submitting your application, you are confirming this information.
- Governing Law, Amendments and Arbitration
- This agreement and the Services are governed by the laws of the State of Delaware and the applicable federal law, without regard to any different state laws that may govern your Online accounts.
- GMAC Bank may amend this Agreement in any way and at any time by mailing you notice of such amendment(s) prior to the effective date. All amendments will become effective on the effective date.
- ARBITRATION; THIS AGREEMENT PROVIDES THAT EXCEPT AS DETAILED IN THIS PARAGRAPH, ALL CLAIMS (AS DEFINED BELOW) WILL BE RESOLVED BY BINDING ARBITRATION. BY CLICKING “I ACCEPT” AT THE END OF THIS AGREEMENT, THE PARTIES VOLUNTARILY AND KNOWINGLY WAIVE ANY RIGHT TO LITIGATE THE CLAIM IN COURT, PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS OR CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION OR HAVE A JURY TRIAL FOR CLAIMS THAT ARE SUBJECT TO ARBITRATION.
- AGREEMENT TO ARBITRATION CLAIMS: Any claim, dispute, or controversy (collectively “Claim”) between GMAC Bank and the Borrower (except those listed below in Paragraph N(3)(B)) including but not limited to those arising out of the this account, Borrower’s application, advertisements, servicing and collection of this account, any outstanding balance, insurance products or services, as well as any other disclosure or document related to the account shall exclusively be resolved by BINDING ARBITRATION by an arbitrator of the American Arbitration Association (“AAA”) in accordance with (a) the Federal Arbitration Act; (b) the Expedited Procedures of the Commercial Rules of the AAA and (c) this Paragraph. The term Claim shall be given the broadest possible meaning. The terms of this paragraph shall control any inconsistency between the arbitration rules and this Paragraph. Borrower may obtain a copy of the arbitration rules by writing the AAA at American Arbitration Association 335 Madison Avenue 10th Floor New York, NY 10017–4605. An action to compel arbitration may be brought at any time even after a Claim has been commenced or raised in a court of law or equity or the Note has been paid in full. At Borrower’s written request GMAC Bank will pay all fees up to $1,000 for the AAA’s cost of the arbitration of the Claim. If the cost of the AAA arbitration exceeds $1000 the parties will share the excess cost equally unless otherwise ordered by the AAA. Unless inconsistent with applicable law each party shall pay his/her own attorney, expert and witness fees and expenses.
- CLAIMS EXCLUDED FROM JURISDICTION: The following actions shall not be subject to arbitration: any action to obtain possession of the property securing the Account; any action for prejudgment injunctive relief or appointment of receiver(s). In addition, GMAC Bank agrees that it will not require the Borrower to arbitrate an individual Claim brought against borrower in small claims court or Borrower’s equivalent state court, if any; however, if that Claim is transferred or appealed to a different court, GMAC Bank reserves the right to require arbitration under this Paragraph.
- JUDGMENT and ADDITIONAL TERMS: An arbitration award shall be final and may be entered as a judgment in any court having jurisdiction, except that if the amount in controversy exceeds $10,000 either party may appeal the arbitrator’s award to a three-arbitrator panel of the AAA which shall re-consider de novo any aspect of the initial award. The costs of such appeal will be borne by the appealing party. The costs of such appeal will be borne by the appealing party regardless of the outcome of the appeal. Borrower agrees that any arbitration proceeding will only consider Borrower’s Claims. Claims by or on behalf of other borrowers, co-borrowers, co-signers, sureties or applicants will not be arbitrated in any proceeding that is considering the Borrower’s Claim.
This Paragraph shall survive any termination of this Agreement. If any portion of this arbitration provision is deemed invalid or unenforceable, this shall not invalidate the remaining portions of the arbitration provision or this Agreement.
